Terms of Service

1. Acceptance of Terms

By accessing or using the Agent Clear platform ("Service"), operated by Agent Clear ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Agent Clear provides a commerce platform for AI agents, including: (a) a semantic discovery registry for finding API services; (b) a pre-funded virtual ledger for micro-transaction billing; (c) a trust and security engine for service verification; and (d) a metered proxy for authenticated API calls.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Consumer Obligations

  • You must pre-fund your wallet before making API calls
  • You are responsible for all charges incurred through your API keys
  • You must not use the Service to transmit malicious payloads, attempt prompt injection attacks, or abuse upstream services
  • You must comply with the usage policies of each upstream service you call
  • Promotional credits are non-transferable and may expire after 12 months of account inactivity

5. Provider Obligations

  • You must accurately describe your service's capabilities and pricing
  • You must maintain reasonable uptime for your registered endpoints
  • You must not register services that facilitate illegal activity
  • You must respond to security scan findings within the timeframes required by your trust tier
  • You are responsible for the content and behavior of your upstream service

6. Billing and Payments

The platform charges a 2.5% fee on each proxied transaction. Consumers are billed per API call at the price set by the provider. Wallet deposits are processed through Stripe and are non-refundable except where required by law. Provider payouts are subject to a minimum threshold of $25 and are processed via Stripe.

7. Framework Revenue Share

Framework partners who integrate the Agent Clear SDK may earn 40% of the platform fee on transactions attributed to their integration via the X-Framework-Ref header. Revenue share terms are subject to the separate Framework Partner Agreement.

8. Prohibited Conduct

  • Attempting to circumvent billing or metering
  • Using the Service to conduct denial-of-service attacks
  • Registering fraudulent or misleading services
  • Reverse-engineering the platform's trust scoring algorithms
  • Sharing API keys with unauthorized third parties
  • Violating applicable laws or regulations

9. Intellectual Property

The Service, including its design, code, and documentation, is owned by Agent Clear and protected by intellectual property laws. You retain ownership of your services and content. By registering a service, you grant us a non-exclusive license to index, display, and proxy requests to your endpoints.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE QUALITY, ACCURACY, OR RELIABILITY OF THIRD-PARTY SERVICES ACCESSED THROUGH THE PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT CLEAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Any remaining wallet balance (excluding promotional credits) may be refunded upon request, subject to our payout policies.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
